Fractional Workspace (“the Service,” “we,” “us”) is a software application that helps independent executives and advisors manage their pipeline, proposals, client engagements, and related work. By creating an account or using the Service, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms may be updated from time to time. Continued use of the Service after changes are posted means you accept the updated Terms.
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide when creating an account.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access to your account.
The Service is offered on a subscription basis. Current pricing is available at fractionalworkspace.com/pricing. Payment processing is handled by Stripe; we do not directly store your full payment card details.
Subscriptions renew automatically until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period, and we do not provide partial refunds for unused time within a billing period unless required by law.
Free trial terms, where offered, are described at the time of signup. We reserve the right to change pricing for future billing periods with reasonable notice; rates locked in under any specific promotional terms (such as early adopter pricing) will be honored as stated at the time they were offered.
You retain ownership of the content you input into the Service, including prospect notes, proposals, client information, and workspace data (“Your Content”). You grant us a limited license to host, process, and display Your Content solely as necessary to operate and improve the Service.
You are responsible for ensuring you have the appropriate rights and permissions to input any client or third-party information into the Service, and for complying with applicable laws regarding that information.
Some features of the Service use artificial intelligence to analyze content you provide (such as prospect notes) and generate suggestions, drafts, or recommendations. These outputs are provided as a starting point and should be reviewed before use; we do not guarantee their accuracy or suitability for any particular purpose.
You agree not to use the Service to: violate any law or regulation; infringe on the rights of others; upload malicious code; attempt to gain unauthorized access to the Service or other users’ accounts; or use the Service to harass, defame, or harm any person.
You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Service, except to the extent such restriction is prohibited by applicable law.
You agree not to use any automated tool, AI system, web scraper, or similar means to copy, extract, replicate, or recreate the Service, its features, its underlying prompts or workflows, or any substantial part of it, whether for the purpose of building a competing product or otherwise.
You agree not to use any content, output, or material generated by the Service to train, fine-tune, or otherwise improve any artificial intelligence or machine learning model, except where that content is your own and you have the right to do so.
The Service integrates with third-party providers, including Stripe for payment processing and email delivery providers for transactional communications. Your use of those integrations is also subject to the relevant third party’s terms.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service if you violate these Terms or for any other reason with reasonable notice, except where immediate termination is warranted (such as for security or legal reasons).
The Service is provided “as is” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any AI-generated content will be accurate or complete.
Any analysis, fit scores, recommended offers, risk assessments, proposal language, weekly update drafts, or other output generated by the Service (including features powered by artificial intelligence) are suggestions only. They are not professional advice of any kind, including business, financial, legal, or tax advice, and are not a guarantee of any outcome. You are solely responsible for reviewing, editing, and verifying any such output before relying on it or sharing it with a client, and for all business decisions you make using the Service.
We make no representation about the suitability of any suggested pricing, scope, or strategy for your specific business or clients. You acknowledge that the success or failure of your business, client relationships, and engagements depends on factors outside the Service and outside our control, and that we are not responsible for the outcomes of decisions you make based on content generated by or stored in the Service.
To the maximum extent permitted by law, Fractional Workspace and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility of such damages. This includes, without limitation, lost profits, lost clients or business opportunities, damage to your business or professional reputation, or any other harm to your business resulting from your use of the Service or reliance on any analysis, suggestion, or content generated by it.
Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.
We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify users of significant changes that affect their use of the Service.
These Terms are governed by the laws of the United States, without regard to conflict of law principles.
